Terms of Service

These terms set out the conditions for using the Cemantic website, platform and software.
Scope and acceptance
These terms cover your use of the Cemantic website and authorised access to our platform and software. Product access is subject to acceptance through a signup, order or written agreement. A separate signed customer or pilot agreement takes priority if its terms conflict with these terms.
Website and platform use
Use the website and platform lawfully. Do not interfere with their operation, access systems or information without permission, or submit unlawful material. You are responsible for the accuracy of information you provide and for keeping any account credentials secure.
Access and software licence
Subject to your applicable agreement, Cemantic grants you a limited, non-exclusive, non-transferable right to access the platform and use its software for your organisation’s internal business purposes, within the agreed scope and term. The software is licensed, not sold.
Authorised use
You must have authority to access the systems and data you connect. Keep access credentials secure, use the software lawfully and do not attempt unauthorised access, disrupt the service, resell access or copy or reverse engineer the software except where applicable law permits it.
Ownership and customer data
Cemantic retains rights in its software and documentation. You retain rights in the data and materials you provide. Ownership and permitted use of generated models, configurations and project deliverables are defined in the applicable customer agreement. Cemantic may process your data only as needed to provide the agreed service and as permitted by that agreement.
Review and deployment
Your authorised engineers are responsible for reviewing outputs and approving changes before use in production. Generated mappings, models and pipelines may contain errors and must be validated against your actual systems. The software does not replace plant safety procedures or engineering judgement.
Fees, support and availability
Fees, access limits, support, service levels and any deployment commitments are set out in the applicable order or customer agreement. A demonstration does not establish a production warranty or service-level commitment.
Warranties and liability
Except as expressly agreed in writing, evaluation software is provided as available without a guarantee that it is error-free or suitable for every purpose. Liability limits are governed by your customer agreement and applicable law. Nothing in these terms excludes rights or liability that cannot lawfully be excluded.
Ending access
Access may end when the agreed term expires or in accordance with the applicable agreement, including for a material breach. Data return, deletion and any transition assistance are governed by that agreement.
Governing terms
The governing law and dispute process are those agreed in your written customer agreement, subject to mandatory applicable law.
Changes to these terms
We may update these terms as our services change. The effective date identifies the current version. Changes to a signed customer agreement follow that agreement’s amendment process.
